Profile

Rachel is a partner in the commercial, IP and IT team, with a particular specialism in the life sciences and publishing sectors. She has 16 years’ experience, having worked as an associate in a technology and commerce team at another leading law firm and as corporate counsel for a pharmaceutical company before joining Penningtons Manches Cooper in 2015.

As an experienced IP and commercial lawyer, she advises clients on a broad range of non-contentious IP matters, including drafting and negotiating trade mark licences, patent and know-how licences, copyright licences, and software licences. Her practice focuses in particular on advising biotech/pharmaceutical clients on commercial agreements such as confidentiality agreements, consultancy agreements, master services agreements, material transfer agreements, manufacturing agreements and clinical trial agreements, and on advising publishing clients on author publishing agreements, site licence agreements, and other book/journal publishing agreements. Her clients range from small biotech and tech companies, to large pharmaceutical companies, NHS trusts, charities and academic institutions.

Rachel is a fluent French speaker and regularly advises clients in French on IP and commercial issues. She contributed to the book entitled Blogging and Other Social Media: Exploiting the Technology and Protecting the Enterprise. She is a regular speaker at conferences and seminars, in particular at events focused on the life sciences industry.

  • Acting for a consortium of NHS trusts on commercial issues relating to the consortium agreement, and drafting and negotiating a services agreement with a world leading pharmaceutical company.
  • Advising a small biotech on all its commercial agreements (CDAs, MSAs, and others).
  • Advising on a sponsorship agreement and trade mark licence for a well-known shoe manufacturer.
  • Advising an academic publisher on copyright licence agreements, publishing agreements, text and data mining agreements, software licences and others.
  • Acting for a French technology company and advising on a licence agreement with a global corporation, included providing advice in French and attending a negotiation meeting in Paris conducted in French.
  • Acting for a leading London university on a collaboration agreement with a French pharmaceutical company to conduct research relating to, and manufacturing of, lentiviral vectors.
